Terms of Use

These Terms of Use ("Terms") govern your access to and use of PM-Metrix, including its website, applications, and related services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

• Provide accurate and complete information when creating your account.
• Keep your password confidential and notify us promptly of any unauthorized use.
• You are responsible for activity that occurs under your account and credentials.
• Each user must have their own account; credentials may not be shared.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Interfere with or disrupt the Service, including attempting to gain unauthorized access to other users’ data or systems.
• Scrape, reverse engineer, or attempt to derive the source code of the Service except as permitted by law.
• Upload content that infringes the rights of others or that you do not have the right to submit.
• Impersonate any person or misrepresent your affiliation with any organization.

You retain all ownership of the data your organization submits to the Service — including buildings, equipment records, maintenance records, work orders, logs, and contact information ("Your Data"). You grant PM-Metrix a limited, non-exclusive license to host, process, and display Your Data solely to provide the Service to you and your organization.

You are responsible for ensuring that you have the rights to any content you upload, and for how members of your organization use the Service.

• Some features of the Service require a paid subscription. Plans and pricing are presented at signup.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled before renewal.
• Fees are non-refundable except as required by law; if a fee change applies to your plan, you will receive advance notice.
• You are responsible for all applicable taxes associated with your subscription.
• Payment details are processed by our payment processor; PM-Metrix does not store your card information.

We aim to keep the Service available and reliable, but we cannot guarantee uninterrupted or error-free operation. We may add, modify, or discontinue features of the Service, and will provide reasonable notice of changes that materially affect your use.

• You may cancel your subscription or close your account at any time through the platform.
• We may suspend or terminate accounts that violate these Terms, applicable law, or that fail to pay amounts due.
• Upon termination, you may request an export of Your Data before it is deleted, subject to legal retention requirements.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors.

To the maximum extent permitted by law, PM-Metrix and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of profits, data, or business opportunities. Our aggregate liability for all claims relating to the Service will not exceed the subscription fees you paid in the twelve months preceding the claim.

You agree to indemnify and hold PM-Metrix harmless from claims, damages, and expenses arising from your violation of these Terms or your use of the Service in breach of law or the rights of others.

These Terms are governed by the laws of the jurisdiction in which PM-Metrix operates, without regard to conflict-of-law rules. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.

We may update these Terms from time to time. We will post the updated Terms here and revise the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
